Duties of HOA directors — February 27, 2026

The Board of Directors are elected homeowners responsible for managing community operations, finances, and enforcing governing documents (CC&Rs) to maintain property values and quality of life.

Core responsibilities

  • Financial management — drafting annual budgets, collecting assessments (dues), managing reserve accounts, and paying expenses.
  • Maintenance and operations — overseeing the maintenance, repair, and replacement of community common areas.
  • Rule enforcement — fairly and consistently enforcing the CC&Rs and bylaws.
  • Fiduciary duty — acting in good faith, in the best interest of the association, and making informed, rational decisions.
  • Governance and administration — conducting meetings, maintaining records, and hiring or directing vendors.

Directors must adhere to the Business Judgment Rule, which requires making reasonable, informed, and unbiased decisions, and must avoid conflicts of interest.
